Agreement to Terms
These Terms of Sale ("Terms") govern all purchases made from CMYK, LLC d/b/a Billy's Badges ("Billy's Badges", "we", "us", "our") through our website and related Services. By placing an order, you agree to these Terms. These Terms incorporate by reference the Terms of Use.
While this site is co-branded with HPN Global, your purchase agreement is with CMYK, LLC d/b/a Billy's Badges. Billy's Badges fulfills your order, processes your payment, and provides customer service. Hospitality Performance Network, LLC is not a party to this agreement.
1. Order Process
Your submission of an order constitutes an offer to purchase. No contract arises until we send a written Order Confirmation. We reserve the right to decline any order at our discretion, including but not limited to orders with pricing errors, suspected fraud, or product unavailability.
2. Payment
All payments must be made by credit card at the time of order, unless otherwise agreed in writing. We process payments through our payment provider, which encrypts all transaction data under PCI-DSS standards.
3. Pricing
Prices are as quoted at the time your order is placed, excluding applicable taxes and shipping. We reserve the right to correct pricing errors and cancel orders placed at incorrect prices, with prompt notification and full refund.
4. Artwork and Proofs
For custom products, you must upload your artwork and approve a digital proof in writing before production begins. We will not print any artwork unless and until you have provided written approval. Any alterations requested after proof approval may incur additional charges and production delays.
5. Production and Shipping
Production begins after receipt of artwork approval. Turnaround times are estimates and may vary. We are not liable for delays caused by circumstances beyond our reasonable control. Risk of loss passes to you upon delivery to the carrier.
6. Returns and Cancellations
Custom products are made specifically for you and are non-returnable except as required by law or where the product materially fails to conform to the approved proof. Non-custom products may be returned within 7 days of receipt, subject to a restocking fee. Cancellations must be requested before production begins.
7. Warranty
We warrant that custom products will conform to their specifications and print substantially similarly to the approved proof, subject to reasonable color and dimensional variation, for a period of 7 days from the date of shipment. This warranty does not cover damage caused by improper use, storage, or modification of the product.
8. Disclaimer of Warranties
EXCEPT AS EXPRESSLY SET FORTH IN SECTION 7, ALL PRODUCTS AND SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
9. Limitation of Liability
IN NO EVENT SHALL CMYK, LLC BE LIABLE FOR ANY CONSEQUENTIAL, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THESE TERMS OR ANY ORDER. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU FOR THE SPECIFIC PRODUCTS OR SERVICES GIVING RISE TO THE CLAIM.
10. Intellectual Property
You retain all rights to artwork you provide. We own all intellectual property in our designs, templates, and products. You must obtain all necessary authorizations for any third-party intellectual property used in your order.
11. Dispute Resolution
All disputes shall be resolved through binding arbitration as described in Section 21 of our Terms of Use, which are incorporated herein by reference.
