Introduction
CMYK, LLC d/b/a Billy's Badges ("Billy's Badges", the "Company", "we", "us", or "our") sells custom event badges, lanyards, and related products through our website and mobile applications (collectively, the "Services"). These Terms of Use govern your access to and use of the Services. By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
This site is co-branded with HPN Global. The Services are operated by Billy's Badges; HPN Global is a partnership brand and is not a party to these Terms.
1. Changes to the Terms of Use
We reserve the right to revise these Terms at any time. Changes take effect immediately upon posting. Your continued use of the Services after any change constitutes your acceptance of the revised Terms.
2. Accessing the Services and Account Security
You are responsible for all access to the Services under your account. You must provide accurate registration information and keep your credentials confidential. Notify us immediately at support@cmyk.ink of any unauthorized use of your account.
3. Intellectual Property Rights
All content on the Services is protected by copyright and intellectual property laws. You may temporarily cache materials and print single copies for personal, non-commercial use only. You may not reproduce, modify, distribute, or create derivative works from any content without our prior written permission.
4. Trademarks
"Billy's Badges", "Lloyd's Labels", "Expo Pass", "Linkroom" and related names, logos, and marks are trademarks of CMYK, LLC. You may not use these marks without our prior written permission.
The "HPN Global" name and logo, where displayed on this site, are trademarks of Hospitality Performance Network, LLC and are used with permission. Hospitality Performance Network, LLC is not a party to these Terms; your agreement is with CMYK, LLC d/b/a Billy's Badges.
5. Prohibited Uses
You may not use the Services to: (a) violate any applicable law or regulation; (b) transmit unsolicited communications; (c) impersonate any person or entity; (d) introduce malicious code or interfere with the Services; or (e) attempt unauthorized access to any part of the Services.
6. User Contributions
By submitting content to the Services, you grant us a non-exclusive, royalty-free, worldwide license to use, display, and distribute that content. You warrant that you own or have the right to submit such content and that it complies with these Terms.
7. Monitoring and Enforcement; Termination
We may remove content, suspend accounts, and cooperate with law enforcement at any time without liability. We reserve the right to terminate access to the Services for any violation of these Terms.
8. Content Standards
User contributions must comply with all applicable laws and may not be defamatory, obscene, harassing, or infringing. Commercial solicitations and deceptive content are prohibited.
9. Copyright Infringement
We respect intellectual property rights. Please refer to our Copyright Policy for procedures to report infringement. We will terminate accounts of repeat infringers.
10. Reviews and Feedback
Any feedback, suggestions, or reviews you submit become non-confidential. We retain all rights to use, modify, and display such feedback without compensation.
11. Customer Artwork
When you provide images or artwork for printing, you grant us the right to display, reproduce, and use such artwork in connection with fulfilling your order and for promotional purposes. You warrant that you have obtained all necessary authorizations from the owners of any third-party intellectual property in your artwork.
12. Payment Platform
Payments are processed through our payment provider. Payment data is encrypted and handled under PCI-DSS standards.
13. Online Purchases
All purchases are also governed by our Terms of Sale, which are incorporated by reference into these Terms.
14. Linking and Social Media
You may link to our homepage without suggesting endorsement. Deep linking, framing, and unauthorized use of social media features is prohibited. We may disable any linking at our discretion.
15. Third-Party Links
The Services may contain links to third-party websites. We are not responsible for the content or practices of any linked site.
16. Geographic Restrictions
The Services are intended for users located in the United States. Accessing the Services from outside the U.S. is at your own risk and you are responsible for compliance with local laws.
17. Disclaimer of Warranties
YOUR USE OF THE SERVICES, ITS CONTENT, AND ANY PRODUCTS OR SERVICES OBTAINED THROUGH THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. THE COMPANY DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, EXCEPT AS SPECIFIED IN ANY APPLICABLE SALE AGREEMENT.
18. Limitation on Liability
IN NO EVENT WILL THE COMPANY, ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, INCLUDING LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, UNDER ANY LEGAL THEORY ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, EXCEPT AS SPECIFIED IN ANY APPLICABLE SALE AGREEMENT.
19. Indemnification
You agree to defend, indemnify, and hold harmless the Company and its affiliates from any claims, damages, or expenses arising from your use of the Services, your User Contributions, Customer Artwork, or your violation of these Terms.
20. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of Illinois, without regard to choice-of-law provisions. All disputes shall be resolved in accordance with Section 21 below.
21. Arbitration Agreement; Class Waiver; Waiver of Trial by Jury
(a) Applicability. All disputes arising out of or relating to these Terms or the Services shall be resolved through binding individual arbitration, except for small claims and requests for injunctive relief related to intellectual property.
(b) Class Action Waiver. YOU ARE AGREEING IN ADVANCE THAT YOU WILL NOT PARTICIPATE IN OR SEEK TO RECOVER MONETARY OR OTHER RELIEF IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION AGAINST THE COMPANY.
(c) Arbitration Rules. Arbitration shall be administered by JAMS. For claims under $250,000, the JAMS Streamlined Arbitration Rules apply; for larger claims, the JAMS Comprehensive Rules apply. Proceedings shall be conducted in Chicago, Illinois.
(d) Jury Trial Waiver. YOU AND THE COMPANY HEREBY WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO SUE IN COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR A JURY.
(e) 30-Day Opt-Out. You may opt out of this arbitration agreement by written notice within 30 days of first accepting these Terms.
22. Limitation on Time to File Claims
ANY CAUSE OF ACTION ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, IT IS PERMANENTLY BARRED.
23. Waiver and Severability
No waiver of any term shall constitute a continuing waiver. If any provision of these Terms is held invalid, the remaining provisions shall continue in full force.
24. Entire Agreement
These Terms constitute the entire agreement between you and the Company regarding the Services and supersede all prior understandings.
